Terms and Conditions of Sale

1. Purpose and Scope

These General Terms and Conditions of Sale (GTC) govern the contractual relationship between Hallucine EURL and its business customers for all orders of equipment (inflatable screens, structures, accessories) and related services. Placing an order implies unconditional acceptance of these GTC.

2. Quote and Order

Each order is subject to a prior quote. The quote is valid for thirty (30) days from the date of issuance. The order becomes firm and final upon receipt of the signed quote accompanied by the down payment specified in Article 4.

3. Price

Prices are listed in euros and do not include tax (excl. tax). The applicable VAT rate is the rate in effect on the date of invoicing. Any delivery, installation, or shipping charges are specified on the quote.

4. Payment Terms

Unless otherwise specified in the quote, payment is due as follows: a 30% deposit upon order placement, with the balance due within one month of delivery. Payments are made by bank transfer.

5. Late Payment

In the event of late payment, penalties at a rate of three times the applicable statutory interest rate shall be due on the day following the payment date indicated on the invoice, without the need for a reminder. In addition, a flat-rate indemnity of €40 for collection costs shall apply (Articles L441-10 and D441-5 of the Commercial Code).

6. Retention of Title

The delivered goods remain the property of Hallucine EURL until full payment of the price, including principal and ancillary charges, has been made. However, the transfer of risk occurs upon delivery.

7. Delivery

Delivery times are provided for informational purposes only. Hallucine EURL shall not be held liable for delays due to force majeure or the actions of a third party. Upon receipt, the customer is required to inspect the condition of the equipment and to file any claims with the carrier.

8. Warranties and Liability

The equipment is guaranteed against any manufacturing defects under the terms specified in the quote. Hallucine EURL shall not be held liable in the event of use that does not comply with the recommendations, particularly with regard to safety and wind conditions for inflatable structures.

9. Governing Law and Disputes

These Terms and Conditions are governed by French law. In the event of a dispute and in the absence of an amicable settlement, exclusive jurisdiction is hereby assigned to the Commercial Court of Grenoble, notwithstanding multiple defendants or third-party claims.
